Terms of Use – Research Participants

The following "Terms of Use" describe the terms and conditions under which you serve as a tester/"Beta Participant" of UXARMY, a company incorporated in Singapore with offices at 14 Robinson Road #08-01A Far East Finance Building Singapore 048545 ("UXARMY", "we", "our") for the purpose of participating in user research. These studies include user experience interviews, market research, and usability studies.

To deliver these studies, UXARMY software matches testers with clients who need a website, mobile app, design prototype, video, software or other element that a tester can review remotely. Testers can connect to the Internet from their preferred location, as long as it's conducive to providing distraction-free feedback.

By indicating your acceptance in the "I agree" field, you agree to abide by and be bound by these Terms of Use. If you do not agree to these Terms of Use, please do not fill out "By signing up, you agree to our Terms of Use and Privacy Policy". Then you will not be able to register as a tester for UXARMY.

Register

To act as a tester for UXARMY, you may be required to download certain software applications ("UserAdvocate, the DeepDive mobile application and the UserAdvocate browser extension") from our website, uxarmy.com (the "Site"). Please note that not all software applications are suitable or available in all countries.

These apps will give you access to the UXARMY research platform, and you may also need to download other apps if they are not already installed on your device. By downloading UXARMY Apps, you hereby grant UXARMY access to the computer or mobile device from which you download these Apps/Extensions in order for you to participate as a tester and operate as necessary. You agree to be solely responsible for any damage caused to your system, any programs, data or information related to or resulting from such downloading or testing services provided by you.

When you register with UXARMY as a tester, UXARMY will collect your personally identifiable information through the registration process, such as your name, contact information, PayPal account information, race, age, gender, education, employment status and hobbies, as well as what we require Any other information you provide, either initially or in subsequent questionnaires after registration.

You consent to the collection and use of such personally identifiable information, including video images of your face and recordings of your voice, as part of providing usability testing services. You hereby irrevocably assign to UXARMY the exclusive and complete copyright ownership rights in and to such video and audio recordings. You represent that the information you provide to UXARMY will be true, accurate and complete and produced in accordance with UXARMY policies and procedures.

In addition, UXARMY may collect details of your visits to the website or software we ask you to test, including but not limited to website analytics such as mouse clicks, traffic data, location data, IP address, operating system, browser type, and other communication data , for system administration and fraud prevention purposes.

Tester obligations

You must be of legal age in your country and state of residence to form a binding contract. In exceptional circumstances, if you are under 18 years of age, you will also need to be accompanied by a parent during the exam.

Before taking the test / user research

• Please be sure to read and follow all tasks/questions carefully.
• When answering questions or following instructions, try not to stray too far from the question/task.
• As you interact with the asset, make sure to express clearly and comment out loud any thoughts you may have during the user experience throughout the testing process. Your feedback must help improve the product you are testing.
• Your attire and environment for the Test must be appropriate for a public setting as you may be recorded via webcam.
• Please do not display (via your screen or webcam) any inappropriate photos, videos, or other content that is not directly related to the purpose of the study.
• Make sure you have the minimum technical requirements to perform the test.
  • High-speed broadband internet connection.
  • Fully functional webcam and microphone.
  • Modern MacOS or Windows computer, iPhone or iPad, Android phone or tablet.
  • A valid email address.
  • A valid PayPal account for payment processing.
• Please check that your microphone and webcam are working properly to ensure they are not interfering with your audio, video, or screen recording during testing.
• You are responsible for access to all equipment required to conduct one of our user studies.

• Record your computer screen actions, screenshots, clicks, navigation data, and voice as you perform tasks on selected websites or other online or offline elements.
• Use your webcam to record your facial expressions.
• Answer a series of questions about design, content, user-friendliness, and provide ratings and recommendations in these areas.
• Record your written comments and suggestions.
• Provide regularly updated profile information for screening purposes for future qualitative research testing.

UXARMY DOES NOT REPRESENT OR WARRANT THAT YOU WILL BE SELECTED TO PERFORM TESTING SERVICES.

You agree not to contact customers who purchased user testing services through our website or through information obtained from our website to provide your own services directly to the customer in lieu of our services.

You agree to keep completely confidential any website or other online element or software or software prototype that you are testing, have tested or will test in connection with your participation as a UXARMY tester, and not to disclose to third parties the test content you have performed for UXARMY, or copied or Document any results, or prototypes, media assets, or files and applications tested in any form.

You agree not to copy or take screenshots/videos of our user research test applications, design prototypes, files, media assets, wireframes or any other information, media assets or concepts and/or disclose this information to other testers or Third parties, whether in person, via the Internet or any other form of communication.

Payment methods

• You must have a valid PayPal account.
• You'll be paid within up to 21 business days after you've fully completed your test.
• All payments are made in the local currency.
• You are responsible for paying taxes in your country, if applicable.
• For each transaction, Paypal will deduct applicable Paypal fees from your total payment.

UXARMY reserves the right, in its sole discretion, to refuse payment to any tester for the following reasons:

• Expired tests, as well as test results not received by UXARMY, for whatever reason, and/or incomplete reporting (failure to adhere to tasks, not speaking your thoughts out loud during the test).
• UXARMY will only pay you for a complete, comprehensive report if it meets the above guidelines.
• In any event, when conducting a test, our client selects which specific testers should be invited to perform the test and provides us with your contact details or other means by which we can invite you to participate.
• The client may instruct you that you should not receive any compensation as a result of the test.
• Compensation: UXARMY will not pay you for performing tests.

Ownership of website content

UXARMY is the owner or licensee of all intellectual property rights in the design, compilation, selection and arrangement of all information, content, text, graphics, elements, organization, software and other content making up the Website and/or the Testing Services ("content"). You acknowledge that certain content available on the Site is protected by copyright laws and treaties around the world and by the trademarks, patents or other intellectual property rights of UXARMY or its licensors. Except as expressly provided herein, nothing contained on the Site or User testing Services shall be construed as conferring any license under any UXARMY intellectual property, whether by estoppel, implication, waiver or otherwise.

Except as otherwise provided herein, you agree not to copy, reproduce, alter, reverse engineer, modify, create derivative works from, broadcast or publicly display any content on the Site or App without UXARMY’s prior express written permission.

All trademarks, service marks and trade names appearing on the Site are the property of UXARMY or the respective owners of such marks or names and protected by international copyright and trademark laws. You agree not to defame or disparage UXARMY, its trademarks, service marks and trade names, or any other aspect of the Site or Content. Any use of the trademarks, service marks, or trade names appearing on this Site without the express written consent of UXARMY or, as applicable, the owner of the trademark or name is strictly prohibited.

If you provide any suggestions, improvements, comments, change requests or any other ideas, recommendations or reports ("Test Results"), you hereby assign and agree to assign any and all rights to send such Test Results to UXARMY without any additional consider. You hereby irrevocably transfer, without additional consideration, complete and exclusive copyright ownership rights in all content (including all audio and video images) produced by you while conducting testing using the UXARMY Platform.

All rights not expressly granted in these Terms of Use are reserved.

Disclaimer

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND THE CONTENT CONTAINED THEREIN ARE PROVIDED ON AN “AS IS, AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UXARMY DISCLAIMS ALL WARRANTIES, CONDITIONS, TERMS, REPRESENTATIONS AND COMMUNITIES, EXPRESS OR IMPLIED, WHETHER BY LAW, USAGE, UXARMY'S PRIOR ORAL OR WRITTEN STATEMENTS, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY The implied warranties of suitability, fitness for a particular purpose, title, satisfactory quality, non-infringement and course of dealing or course of performance.

UXARMY DOES NOT WARRANT THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU (AND NOT UXARMY) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION.

UXARMY makes no representations or warranties regarding (1) the currency, correctness, completeness, reliability, suitability, availability or operation of the website and its content; (2) your use of the website and its content; (3) your Any third-party products and services that may be available or any third-party websites that you may access through the Site.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall UXARMY, its employees, suppliers or licensors, their respective officers, directors, employees, agents, subsidiaries and affiliates and each of them No one is responsible for any direct, indirect, special or consequences. Indemnity

You agree to indemnify UXARMY, its employees, suppliers and licensors, and their respective officers, directors, employees, agents, subsidiaries and affiliates, and each of them, harmless from any third party claims, liabilities, losses, damages , costs or damages (including but not limited to reasonable attorneys' fees) arising out of or related to your provision of the Testing Services, the Site, or any content contained therein; your failure to comply with these Terms of Use; your infringement, Infringe or misappropriate any third party rights; or any violation of applicable laws or regulations.

Links to other websites

You acknowledge, understand and agree that UXARMY has no control over any third party website or software or software prototype to which you provide testing services or to which this Website may link. UXARMY is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, products or services available on such other websites or software or software prototypes.

Changes to Terms of Use

UXARMY reserves the right to discontinue the Testing Services or make changes to the Services at any time without prior notice and without liability to you or any third party.

If UXARMY changes these Terms of Use, it is your responsibility to review these Terms each time you use the Site and/or Services to ensure that you understand the most current Terms of Use. By using the Site and/or Services in accordance with UXARMY's revised Terms of Use, you agree to be bound by those changes. Any dispute arising out of these Terms of Use shall be governed by the Terms of Use in effect at the time the claim or dispute arises. Any changes will only apply to new transactions or activity after the date of the change.

Normal conditions

You and UXARMY are independent parties. Nothing in these Terms of Use shall be construed to make you an agent, employee, joint venturer, partner or legal representative of UXARMY. These Terms of Use constitute the entire agreement between the parties relating to the subject matter hereof and shall completely supersede any prior oral or written agreements between you and UXARMY regarding your role as a UXARMY tester. You agree that if UXARMY does not exercise or enforce any legal right or remedy contained in these Terms of Use (or that UXARMY has the benefit of under any applicable law), this will not constitute a formal waiver of UXARMY's rights and that UXARMY may still Take remedial measures.

You may not assign or delegate any of your rights or obligations under these Terms of Use, and any purported assignment or delegation will be void. UXARMY may freely assign or delegate all rights and obligations under these Terms of Use, in whole or in part.

These terms of use are governed by the laws of Singapore. You hereby consent to the jurisdiction of the state and federal courts located in Singapore to resolve any dispute arising out of or in connection with these Terms of Use.

If any provision of these Terms of Use is held by any court having jurisdiction over this website and/or Qualitative Research Testing Services to be invalid, illegal, void or for any reason unenforceable, then that provision shall be deemed to be separate from these Terms of Use. The Terms of Use shall not Affect the remainder of these Terms of Use, these Terms will continue in full force and effect. UXARMY may provide notices to you by posting on the Site, by email, or through any other communication method for which you provide contact information.
